Terms of Service

Last updated: 28 September 2026

The service

OrderHoist parses customer purchase-order documents provided by a merchant or their buyer (PDFs, scans, and spreadsheets) and creates native Draft Orders in the merchant's Shopify Admin. The service connects via the Shopify GraphQL Admin API and does not alter the merchant's storefront theme code.

Installing the app, or continuing to use it after these terms are posted, constitutes agreement to these terms.

Merchant review and operational control

The merchant maintains sole and final responsibility for reviewing, verifying, and approving every Draft Order before issuing an invoice, collecting payment, or fulfilling products. OrderHoist does not dispatch invoices, charge customer payment cards, or execute warehouse shipments. A draft is an operational proposal for the merchant to approve, modify, or discard.

Accuracy and quarantine

Automated document extraction and SKU matching are probabilistic. Items falling below confidence thresholds, or ambiguous item titles, are routed to the merchant's embedded triage screen and are never committed to a draft as an unconfirmed guess. Approving a draft order affirms that the merchant has verified all quantities, unit prices, variant matches, and customer assignments.

Shopify unified billing

Subscriptions, 14-day free trial periods, and tier changes are governed through Shopify's App Billing API. Subscription fees appear directly on the merchant's unified monthly Shopify invoice. Merchants may cancel at any time from within Shopify Admin. Uninstalling the app terminates active subscriptions pursuant to Shopify's standard billing rules.

Acceptable use

The merchant warrants that they possess lawful authorization to process all forwarded documents and that no uploaded files contain malware or illicit content. The merchant is solely responsible for maintaining catalog accuracy, variant IDs, and wholesale customer tagging.

Intellectual property

OrderHoist retains all rights, title, and interest in and to the application software and documentation. The merchant retains all rights to their catalog, price lists, customer profiles, and source order documents. Forwarding a document grants OrderHoist only the limited right to process that file in temporary buffer memory for the sole purpose of generating the requested Draft Order.

Availability and warranty disclaimer

The service is provided "as is" and "as available." System availability depends upon third-party cloud compute, inbound email providers, and the Shopify Admin API. OrderHoist does not warrant that parsing will be uninterrupted, error-free, or compatible with every non-standard document formatting layout.

Limitation of liability

To the maximum extent permitted by applicable law, OrderHoist and its operators shall not be liable for lost profits, incorrect shipments, fulfillment errors, inventory commitments, or indirect damages arising out of Draft Orders that the merchant reviewed, accepted, or fulfilled.

Termination

A merchant may terminate the service at any time by cancelling their subscription or uninstalling OrderHoist in Shopify Admin. All merchant session tokens and configuration records are deleted following receipt of the shop/redact webhook as detailed in our Privacy Policy.
